These Terms of Use (“Terms”) govern your access to and use of the website www.mediaengineusa.com (the “Site”), operated by MediaEngine LLC, a Florida limited liability company (“MediaEngine,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

“MediaEngine” and related logos are trademarks of MediaEngine LLC. All other trademarks appearing on the Site are the property of their respective owners.

If you submit information, feedback, or materials to us through the Site, you grant MediaEngine a non-exclusive, royalty-free, worldwide license to use that content in connection with operating our business, subject to our Privacy Policy. You represent that you have the right to submit such content and that it does not violate the rights of any third party.

The Site may contain links to third-party websites or services that are not owned or controlled by MediaEngine. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. Your use of third-party websites is at your own risk.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MEDIAENGINE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MEDIAENGINE’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

9. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of those courts.

10. Changes to These Terms

We may revise these Terms at any time by posting the updated version on the Site. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

11. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and MediaEngine regarding your use of the Site.
